California Limited Offering Exemption Notice Packet - LOEN (Corporations Code Section 25102(f))
This packet provides information and forms to assist in the preparation and filing of a Notice of Transaction in compliance with Corporations Code Section 25102(f).
When do I use the LOEN packet?
Every stock corporation in California upon the issuance of stock to shareholders that wants to claim an exemption from registration of these securities, must submit the signed LOEN forms to the Department of Business Oversight ("DBO"). The types of transactions exempt from registration are detailed in this packet. While currently these documents are filed with the DBO electronically, a PDF copy of your signed documents should be uploaded at the time of submission. You will maintain the signed originals in your American Startup Company record book (also known as a Minute Book or Corporate Record book).
