The form and substance for evidencing a company’s managerial decisions varies depending on whether a company is formal, as in the case of a corporation, or more casual, as in the case of a limited liability company (LLC). Other factors that impact how decisions should be recorded depend on whether the company is privately held, or, whether it is public – its stock is publicly traded.
Generally, corporate resolutions are formal declarations of major decisions made by a corporate board of directors and often, supported by resolutions made by the shareholder. The resolutions are often used to determine which corporate officers are legally able to sign contracts on behalf of the company, and make other important decisions that bind the corporation. LLCs will typically use a written action made by the members for similar purposes, particularly if the LLC is acquiring real estate or obtaining a loan.
